I will not discuss the DBA (doing business as) as an option because this form of entity provides NO legal protection or shelter whatsoever and the owner is personally liable for everything.</p>
<p><strong>The LLC:</strong></p>
<p>The LLC provides &#8220;pass-through&#8221; taxation to the owner&#8217;s (member&#8217;s) personal income tax returns. This is the newest form of corporation that was established about 20 years ago and is available in all 50 states. The LLC is simplified and is based upon an &#8220;Operating Agreement&#8221; that is the foundation of how all business decisions are made. This is the form of business entity I use for my single location pizzeria that I own and operate in Holland, Michigan.</p>
<p>PROS: Provides the liability protection of a corporation without the corporate formalities (Board meetings, Shareholder meetings, minutes, etc.) and extra levels of management (Shareholders, Directors, Officers). Taxed the same as a sole proprietorship (1 Member LLC) or partnership (2 or more Members).</p>
<p>CONS: Usually more expensive to form than a DBA, requires more paperwork and formal behavior.</p>

<p><strong>The S-Corporation:</strong></p>
<p>The S-Corp is an optional election a C-Corp may make upon incorporation that changes the rules under which it must operate when dealing with the Internal Revenue Service. When the filing is completed with the IRS, the S-Corp is now taxes as if it were a sole proprietorship or partnership by passing any income or loss through to the shareholder&#8217;s individual income taxes. An S-Corporation can fairly easily revert back to C-Corporation status.</p>
<p>PROS: Prestige of the corporation without the double taxation. Ideal for &#8220;1 person corporations&#8221;.</p>
<p>CONS: More expensive to setup than a DBA; more paperwork and formality required than an LLC (holding Shareholder/Board meetings, keeping minutes and resolutions).</p>
<p>The Lowdown: Though taxed in a similar manner to LLC&#8217;s, still requires the corporate formalities of a regular corporation (holding Board meetings, keeping minutes and resolutions).</p>

<p><strong>C-Corporation:</strong></p>
<p>A C-Corporation is a separate legal entity which can enter into contracts, buy real estate and other assets, sue and be sued. Shareholders in a c-corporation own shares of stock and the company can easily raise funds by issuing new shares of stock. Taxes are filed by the corporation and are completely separate from that of the owners/shareholders.</p>
<p>1. Shareholders own the stock of the corporation.<br />
2. Shareholders elect Directors (known as the &#8220;Board of Directors&#8221;).<br />
3. Directors appoint Officers (President, Secretary, Treasurer, etc.).<br />
4. Officers run the company (day-to-day operations).</p>
<p>There are many record-keeping requirements with operating a c-corporation, such as holding an annual meeting of shareholders, keeping written minutes of all meetings, etc.</p>
<p>PROS: The oldest, most successful and most prestigious type of business entity; provides personal liability protection; conveys permanence, can reduce taxes (lower tax rate on retained profits, items like healthcare, travel and entertainment are deductible).</p>
<p>CONS: More expensive to set up than a sole proprietorship or partnership; more paperwork and formality required than an LLC (holding Shareholder/Board meetings, keeping minutes and resolutions).</p>
<p>The Lowdown: Though more complicated to run and manage than the LLC, the Corporation is still the oldest and most prestigious form of entity. C Corporations are taxed at a lower rate on profits and are able to deduct items like healthcare, travel, entertainment, etc. that LLC&#8217;s and S Corporations cannot. 			<content:encoded><![CDATA[<p>I just received my incorporation papers for my new business venture yesterday. I decided that I wanted to have a corporate umbrella over my Internet endeavors as well as some other business activities I am involved in. Thus I filed for and was approved by the State of Michigan to form Blue Horseshoe Ventures Inc. a Subchapter &#8220;S&#8221; corporation.</p>
<p>I chose the name Blue Horseshoe from the reference &#8220;Blue Horseshoe loves Anacot Steel&#8221; from the movie Wall Street starring Charlie Sheen and Michael Douglas. My fascination with Wall Street paid off in providing a largely unused name to operate under and one that has some meaning to it. It&#8217;s interesting to look at some of the corporate names out there that had a very limited or unknown meaning before becoming famous, such as Google, Microsoft (combining &#8220;Micro computer software&#8221;), Pepsi, and others that created brand recognition from thin air.</p>
<p>I will be chronicling the process I followed in setting up my corporation to provide a reference for others wishing to incorporate for themselves as well.</p>
